Constitution of Austin Interpreters for the Deaf

Article I:
NAME

This non-profit organization shall be known as Austin Interpreters for the Deaf, hereafter known as AID.
Article II:
PURPOSES
AID is not organized, nor shall it be operated, for pecuniary gain, profits, or dividends to its members, and is organized solely for nonprofit purposes. AID shall be affiliated as a chapter of the Texas Society of Interpreters for the Deaf, Inc., hereafter known as TSID. AID purposes shall be concurrent with those of TSID. The primary emphasis of TSID is the development, strengthening, and enhancement of a network of professional interpreters.
* To promote the development and expansion of quality interpreting services available to persons who are deaf, hard-of-hearing and hearing.
* To encourage the recruitment and training of interpreters for persons who are deaf, hard-of-hearing, and hearing;
* To maintain and promote ethical standards for interpreters and transliterators in accordance with the Registry of Interpreters for the Deaf (RID) and the Texas Commission for the Deaf and Hard of Hearing (TCDHH).
* To offer a forum for professional interpreters for exchange of ideas, opinions, and information concerning interpreting;
* To offer meetings whereby members can learn, upgrade skills, and participate in group activities;
* To support legislative interests and concerns which advance the interpreting profession;
* To utilize the InterpreTexan and the AID Newsletter as vehicles for the dissemination and exchange of information, update of events, legislative and national information, special announcements, information regarding the events, workshops, meetings, etc., of the Local Chapter, TSID, and the Registry of Interpreters for the Deaf.
* To raise funds to support the purposes and activities of the association.
* To support the activities of organizations: of and for persons who are deaf and hard-of-hearing, and of and for interpreters and transliterators insofar as such activities are not in conflict with the purposes of this association.
Article III:
CHAPTER RESPONSIBILITY TO TSID
As a Local Chapter of TSID, AID must meet the following responsibilities:
* Adopt and follow a constitution in agreement with the TSID Constitution;
* Participate in governing TSID by sending a voting representative to at least two (2) official meetings of the TSID Board each year;
* Coordinate local arrangements and/or support services for any professional development activities requested by TSID;
* Contribute to the TSID communication network by listing activities and workshops open to the TSID General Membership with the Editor of the InterpreTexan for statewide dissemination;
* File a written Chapter and Treasurer's report at each Annual Conference.
Article IV:
MEMBERSHIP
AID shall consist of Regular, Supporting, Honorary, and/or Lifetime Members.
Article V:
MEETINGS
Meetings of AID shall be held a minimum of four (4) times a year. Dates of these meetings shall be determined by the Executive Board and the Membership will be notified ten (10) days prior to the meeting.
Article VI:
EXECUTIVE BOARD
The Executive Board shall govern AID and shall consist of the following officers: President, vice-presidents, Secretary, Treasurer, parliamentarian, Editor, and AID's Representative to the TSID Executive Board.
Article VII:
COMMITTEES
AID shall have a Nominating Committee and Audit Committee. The President shall appoint the Chairperson of the Audit Committee.
Article VIII:
DISSOLUTION
In the event of dissolution of AID, all remaining assets, real and personal property of whatever nature, shall be transferred to TSID to be kept for a period of twelve (12) months in escrow to allow for possible reorganization. If AID is reorganized under these Constitution/Bylaws, the assets, less ten percent (10%), will be returned to the AID Treasurer. If AID is not reorganized under these Constitution/Bylaws within twelve (12) months, all assets will become the permanent property of TSID.
